The liquidation process: 3 phases and the blocking period
Important: the blocking period is not negotiable. If you distribute assets earlier, you are personally liable as liquidator.
Phase 1: Dissolution
The shareholders resolve to dissolve the company, usually by a 3/4 majority (§ 60 GmbHG), and appoint liquidators, usually the existing managing director. The dissolution is filed with the commercial register with notarial certification. From now on, the company name carries the suffix "i. L." (in liquidation).
Phase 2: Liquidation
The liquidators wind up ongoing business, sell the assets and pay the debts. Mandatory: the call to creditors in the Federal Gazette, which asks creditors to come forward. Its publication starts the one-year blocking period (Sperrjahr) under § 73 GmbHG: 12 months during which no assets may be distributed to the shareholders.
Phase 3: Deletion
Once the blocking period has expired and all liabilities have been settled, the remaining assets are distributed, the final accounts are prepared and the extinction of the company is filed with the commercial register. With the deletion, the company has ceased to exist.
What happens if you do nothing
A company that no longer operates does not disappear on its own. As long as it is entered in the commercial register, its obligations remain: annual financial statements, tax returns, disclosure in the Federal Gazette. This costs money for bookkeeping and tax advice every year, and it only ends when the company is terminated. So if you put off the liquidation, you keep paying for an empty shell. On top of that comes the liability risk: if obligations are breached, the managing director is personally liable. That is another reason why an orderly wind-up is usually cheaper than leaving the company dormant.

GmbH liquidation from resolution to deletion
A GmbH does not disappear just because it stops operating. It continues to exist with all its obligations: annual financial statements, tax returns, IHK fees. If you really want to end the company, you have to liquidate it: a procedure in 3 phases governed by law, which takes at least 13 months because of the blocking period.
The starting point: checking admissibility
Before the dissolution resolution is passed, there is the crucial question: can the company pay all its liabilities? Only then is liquidation the right route. In the case of illiquidity or over-indebtedness, the duty to file for insolvency under § 15a InsO applies instead, with a 3-week deadline for illiquidity and 6 weeks for over-indebtedness. A managing director who "quietly liquidates" despite insolvency risks personal liability and criminal prosecution. That is why every serious liquidation starts with this check.
Phase 1: Dissolution
The shareholders' meeting resolves to dissolve the company by a 3/4 majority, unless the articles of association provide otherwise (§ 60 GmbHG). The resolution itself does not need notarization, but the application to the commercial register does need notarial certification. From registration onward, the company trades with the suffix "i. L." (in liquidation), and the managing directors become liquidators.
Phase 2: Wind-up and blocking period
The liquidators wind up ongoing business, terminate contracts, collect receivables, sell assets and pay creditors. At the same time, they publish the call to creditors in the Federal Gazette. This publication is the most important deadline trigger of the entire procedure: it starts the blocking period under § 73 GmbHG. For 12 months, no assets may flow to the shareholders, so that unknown creditors can also file their claims. If you forget the call or distribute too early, you either extend the procedure or are personally liable.
Phase 3: Distribution and deletion
Once the blocking period has ended and all creditors have been paid in full, the remaining assets are distributed in proportion to the shares. The liquidators prepare the final accounts and file the extinction of the company. The registry court deletes the company, in practice only once the tax office has no objections. The tax wind-up, from the opening liquidation balance sheet to the final balance sheet, runs in parallel and belongs in the hands of the tax advisor.
The most common mistake
The most common mistake is poor timing: the resolution is passed before contracts and tax questions are sorted out, or the call to creditors is published weeks too late and needlessly pushes back the end of the blocking period. A clean deadline roadmap at the start saves months at the end.

Our fee is a fixed price of €479 net. The notary costs total approx. €400. The registry court costs are approx. €700 (for registering the dissolution and registering the deletion of the company). The costs of publication in the Federal Gazette are covered by our flat fee. On top of that come your tax advisor's costs for the liquidation balance sheets.
At least 13 to 15 months: the 12-month blocking period runs from publication of the call to creditors and is mandatory by law. On top of that come the lead time (resolution, notary, register) and the follow-up (distribution, final accounts, deletion).
The one-year blocking period (Sperrjahr) is a creditor protection period under § 73 GmbHG: assets may only be distributed to the shareholders 12 months after the call to creditors. This gives unknown creditors time to file their claims. Violations lead to personal liability of the liquidators.
No. There is no legally sound way to shorten the period. Offers that promise "liquidation in 4 weeks" mean something else: usually selling the company, not deleting it.
Dissolution is the resolution to end the company. Liquidation is the wind-up phase that follows. Deletion from the commercial register is the final step: only then does the company cease to exist.
Unless resolved otherwise, the existing managing directors (§ 66 GmbHG). The shareholders can also appoint other people. The liquidator represents the company, sells its assets and is liable for mistakes in the wind-up.
Liquidation does not end contracts automatically. Leases, leasing agreements and employment relationships must be properly terminated or ended by mutual agreement, with the normal notice periods. This belongs in the wind-up plan before the resolution is passed.
Filed and known claims must be paid before any distribution. If the assets are no longer sufficient, the liquidation turns into a duty to file for insolvency: the liquidator must then file for insolvency without delay (§ 15a InsO).
Only if it can cover all liabilities from its existing assets. If it is illiquid or over-indebted, liquidation is blocked and filing for insolvency is mandatory. This is exactly what we check before the resolution.
The company remains liable to tax until deletion: an opening liquidation balance sheet, ongoing returns and a final balance sheet are required, and in practice the tax office must agree to the deletion (tax clearance). Your tax advisor prepares the balance sheets and returns.
