Is a GbR right for you?
A good fit if …
you are starting as two or more people, without minimum capital and without register formalities. Formally, the GbR comes into existence as soon as you agree, and a proper partnership agreement governs profit distribution, decisions and what happens if someone leaves.
Not a good fit if …
your liability risk is high. In a GbR, every partner is jointly and severally liable without limit, including for mistakes made by fellow partners and including with personal assets. And if you run a commercial business on a scale that requires commercial organization, a GbR is no longer permitted: you are then automatically an OHG.

Forming a GbR: simple start, clear rules
The Gesellschaft bürgerlichen Rechts (GbR), the German civil law partnership, is the simplest way to start a business together: two or more people, a common purpose, done. No minimum capital, no notary, no registration requirement. This very simplicity is both a strength and a risk: whatever you don't regulate is regulated by law, and rarely the way you want it.
The GbR reform: what has applied since 2024
With the MoPeG (Act to Modernize the Law on Partnerships), GbR law was fundamentally modernized as of January 1, 2024. The key points: the GbR now explicitly has legal capacity, so it can conclude contracts, sue and be sued in its own name. The company register is new: as a registered GbR (eGbR), your partnership gets a registered name and can hold real estate, GmbH shares and trademarks. Registration is voluntary, but in practice becomes mandatory as soon as such rights are involved. And: under the statutory default rule, a partner's withdrawal now leads to the partnership continuing instead of being dissolved.
Liability: take this seriously
In a GbR, every partner is liable without limit, personally, jointly and severally. In concrete terms: if your fellow partner makes a mistake, the creditor can demand the full amount from you, including from your personal assets. You then have to recover the compensation internally. For activities with low damage potential this is acceptable, and business liability insurance absorbs a lot. With loans, inventory or high order values, you should consider a legal form with limited liability.
The partnership agreement: 5 points that belong in it
Without an agreement, the rules are: profit per head, decisions together, representation together. That almost never fits. A good GbR agreement covers at least: first, the contributions (who brings what: money, time, equipment), second, the distribution of profit and loss, third, management and representation (who may decide alone, and up to what amount), fourth, withdrawal including a severance formula, and fifth, a non-compete clause for the time during and after the collaboration. In a conflict, these five points decide whether you face weeks or years of dispute.
How a GbR differs from an OHG
If your partnership runs a commercial business that by its nature and scale requires a commercially organized operation, you are no longer a GbR but automatically an OHG (general commercial partnership), with a commercial register requirement and commercial law. The line is fluid and depends on revenue, number of employees and business volume. If you are close to the threshold, you should have the classification reviewed by a lawyer before the registry court forces it on you.
Taxes: transparent taxation
The GbR itself pays no income tax. Its profit is allocated to the partners through a uniform and separate determination, and each partner pays tax on their share at their personal tax rate. Commercial GbRs pay trade tax from €24,500 in annual profit, which is credited against the partners' income tax. For bookkeeping, simple cash-basis accounting (EÜR) is sufficient.

Your partnership agreement is ready in 24 h. After signing and trade registration, you are usually ready to go in 1 to 3 days, provided your activity does not require a permit. If it does, you have to wait for the permit.
Legally, a GbR can also come into existence orally. Without an agreement, however, the statutory rules apply: profit split per head, unanimous decisions, unregulated succession. This is exactly where most GbR disputes arise. An individual agreement costs a one-time €259, while a dispute between partners costs many times that.

No. You start with whatever you want to contribute: money, work or assets. The contributions are governed by the partnership agreement.
Traditionally the partners' surnames with the suffix "GbR", plus a business designation. As an eGbR, purely made-up names with the suffix "eGbR" are also possible. We check what is permissible and does not infringe third-party rights.
