Yes. We work with all legal expenses insurers, and representation in court can be handled through them.

Contract check

All contracts. Especially common: property purchase contracts, property developer contracts, contracts for work, employment contracts, managing director contracts, rental agreements and franchise agreements.

Yes, as many as you like, by email, stating your order number.

Usually the file is larger than the form's 5 MB limit. Simply send us the documents by email and place your order at the same time without an upload, or request an upload link without a size limit by email.

Start-ups & company formation

We have been forming companies since 2003: we are the original. All documents come from a lawyer, in 24 hours. Unlimited legal advice on your formation is included in the price: no extra charge for advice or the managing director contract, no hidden costs, and advice from a lawyer instead of a formation consultant without legal qualifications.

Yes, above a certain commercial scale, as a registered merchant (e.K.). Rule of thumb: trading businesses from about €250,000 in annual revenue, service providers from about €150,000. Many clients also choose the e.K. voluntarily because the register entry makes a more reputable impression.

At least two partners with a common business purpose and a partnership agreement (Gesellschaftsvertrag). It requires no particular form and is theoretically possible orally, but we strongly advise putting it in writing. Important: each partner must register the trade in person.

A partnership of at least one general partner (Komplementär: manages the business, unlimited liability) and one limited partner (Kommanditist: excluded from management, liable only up to the liability amount entered in the commercial register). No minimum capital is required.

Mainly the share capital: for a gGmbH at least €12,500 must be paid in, while a gUG needs significantly less share capital. Both must use 75% of their profit for the nonprofit purpose and, once recognized, are exempt from corporate income tax, trade tax and property tax.

Not directly: contributions in kind are prohibited by law for a UG. What is possible is transferring the existing business to a newly formed UG. Converting into a GmbH, on the other hand, is possible as a regular process; employment contracts generally transfer as well under Section 613a of the German Civil Code (BGB).

Notary and register costs vary by legal form: e.g. e.K. or eGbR about €300 in total, OHG about €400, UG with standard protocol (Musterprotokoll) about €190 to €290 for the notary plus about €300 for the registry court, GmbH with individual articles of association about €800 to €860 for the notary plus about €300 for the registry court. We tell you the exact amounts before you place your order.

Usually within four to six weeks. A registered association (e. V.) usually requires seven founding members; for nonprofit associations we obtain a statement from the tax office on the bylaws in advance.

Trademarks & designs

We prepare your application within 24 hours once all information is available. After your approval we file it with the trademark office, where processing until publication usually takes up to 4 months.

DPMA (German trademark): €290 for up to three classes, €100 for each additional class. EUIPO (EU trademark): €850 for one class, +€50 for the second, +€150 for each additional class.

BASIC covers the registrability check and the application. Only BUSINESS additionally includes the identity and similarity search before filing, which we strongly recommend, because without it the risk of oppositions rises considerably.

There are three types: word marks (protect the sequence of characters in its usual spellings), figurative marks (images without word elements) and combined word/figurative marks (the combination, e.g. a logo with lettering: the combination is protected). We advise you on what fits your case.

In the countries you file for: the German trademark applies in Germany, the EU trademark in all EU member states. For DACH or international protection, we advise you on the right strategy.

The German Patent and Trade Mark Office (DPMA) checks formalities and absolute grounds for refusal, such as lack of distinctiveness. It does NOT check whether your trademark infringes existing rights: that is exactly what the similarity search is for.

€29.90 per month. We monitor the DPMA, EUIPO, USPTO and WIPO for identical or similar new applications and get in touch with a recommended course of action if a conflict arises.

In most countries every ten years, including German and EU trademarks. The renewal should be requested in good time before the deadline expires.

Depending on the number of countries and classes, usually €1,000 to €4,000. The process via WIPO takes several months up to a year; a prerequisite is an existing application in the home country.

Liquidation

A one-time €479 net plus VAT and external notary and court costs. All legal services and documents are included in the fixed price, including unlimited advice on the liquidation.

Usually at least one year, because the legally required one-year blocking period for creditor claims must be observed.

For a UG: notary costs of about €400 in total, registry court costs of about €700 for entering the dissolution and the later deletion. Publication in the Federal Gazette (Bundesanzeiger) is covered by our flat fee.

Without liquidation, annual financial statements and tax returns still have to be filed every year: the costs only end when the company is terminated.

No. Apart from insolvency, a GmbH or UG can only be legally dissolved through liquidation. Any person of legal age can become the liquidator; usually the managing director takes this on.

The business records must be kept for 10 years. Beyond that, there are no further obligations.

Transparency Register

A central database that lists the beneficial owners of all obligated companies. Its legal basis is the German Money Laundering Act (Geldwäschegesetz): the register is meant to make money laundering more difficult.

Practically all companies entered in the commercial register are obligated: GmbH, UG, gGmbH, gUG, OHG and KG, as well as registered associations and the eGbR after its registration. Industry and type of activity make no difference.

Fines of up to €100,000, or up to €150,000 for intentional violations. Final fine notices are also published on the website of the Federal Office of Administration (Bundesverwaltungsamt), including the company name.

Yes, you can set up the identity verification and the account with the Transparency Register yourself. Alternatively, we handle the entire registration for you, reviewed and documented by a lawyer, for €129.

If the beneficial owner changes, for example through a sale of shares or a change of managing director, the entry must be updated without delay.
