How to integrate your T&Cs correctly
The best T&Cs are useless if they are integrated incorrectly. Courts check these points.

What goes into your T&Cs

Liability: limitation of liability as far as the law allows, and not one millimeter further, otherwise the clause is invalid.
Retention of title: the goods remain yours until they are paid for.

One-time or subscription: the key difference
You can use T&Cs drafted once for an unlimited time. However, they are no longer updated when the law changes, and that is exactly where the risk of a cease-and-desist letter comes from. Competition law changes constantly: cancellation periods, information obligations, the Price Indication Ordinance, the Packaging Act. What is correct today may be grounds for a cease-and-desist letter in twelve months. Copying someone else's T&Cs: a double risk

What T&Cs can do, and what they cannot
General terms and conditions standardize your contracts: instead of negotiating every order individually, conditions drafted once apply to all customers. This saves time and shifts the starting position in your favor: on retention of title, on delivery times, on liability. But T&Cs cannot do everything: toward consumers the law sets narrow limits, and if you exceed them, you are worse off than without the clause.
The invalidity trap
A strict principle applies to T&Cs: a clause that unreasonably disadvantages customers is entirely invalid. It is not trimmed down to what is just barely permissible, but struck out without replacement, and the statutory rules then apply. So if you write strict terms "to be on the safe side", you achieve the opposite: the overly strict liability clause falls away and full statutory liability applies. Good T&Cs therefore go right up to the limit of what is permissible, but not beyond it. That is exactly why you need someone who knows current case law.
Why copied T&Cs are doubly risky
Taking over a competitor's T&Cs is a bad idea for two reasons. First, they do not fit: different payment methods, different products and different delivery channels mean different obligations, and suddenly the cancellation policy is wrong or an exception is missing. Second, T&Cs can be protected by copyright: then the cease-and-desist letter is not about the content, but about the copy itself.
Cease-and-desist letters: the real risk in e-commerce
Faulty legal texts are among the most common reasons for cease-and-desist letters in online retail: a wrong or missing cancellation policy, inadmissible shortening of the warranty, missing mandatory information. A single cease-and-desist letter, with the other side's legal fees and the cease-and-desist declaration, regularly costs a three- to four-figure amount, and the cease-and-desist declaration binds you for the future with a contractual penalty. B2B and B2C: two different worlds
