Why contracts should be reviewed before you sign
A signed contract is binding. If you only notice after signing that a clause is disadvantageous, the odds are against you: German courts generally hold you to what you signed, even if you did not read or understand it. What distinguishes a review by a lawyer from a software check
AI-based contract scanners recognize patterns, but they do not know your situation. Whether a non-compete clause threatens your livelihood or is irrelevant depends on what you plan to do professionally. Whether a liability clause is acceptable depends on your risk in the specific deal. A lawyer assesses the contract in your context and is liable for that assessment: with us, insured up to €2.5 million. Software is liable for nothing.
The most common problem clauses
In practice, the risks are concentrated in a few places: automatic contract renewals with long notice periods, one-sided limitations of liability in favor of the other side, contractual penalties without an upper limit, shortened warranty periods and forfeiture clauses that make your claims expire after a few months. Many of these clauses are invalid as general terms and conditions, but they are still in the contract because the other side is counting on you not knowing that.
Invalid clauses: why they are still dangerous
An invalid clause only protects you if you know it is invalid and enforce that in a dispute. Until then it creates pressure: many contracting parties pay contractual penalties or accept obstacles to termination that do not legally exist. The review report identifies such clauses so you do not give in to demands that have no basis.
The review as a negotiation tool
A review report is more than a list of risks. If you can tell the other side exactly which three clauses need to be changed and how the new wording should read, you negotiate from a different position than someone with a vague "this seems unfair to me".
