The four mandatory texts and what they do
Every online shop in Germany operates with the same four basic texts. The legal notice makes you identifiable as the provider, and the mandatory information depends on your legal form. The privacy policy discloses which data your shop processes, and it must match the tools you actually use, from tracking to the payment service provider. The cancellation policy informs consumers about their 14-day right of cancellation in distance selling, including the exceptions for certain product groups. Finally, the T&Cs govern your terms of sale: conclusion of contract, payment, delivery, warranty, retention of title.
Why legal texts in particular draw cease-and-desist letters
Legal texts are publicly visible: any competitor and any association that sends cease-and-desist letters can check them in minutes. That is why faulty cancellation policies, inadmissible T&C clauses and incomplete legal notices have been among the most common reasons for cease-and-desist letters in e-commerce for years. A single cease-and-desist letter, including the other side's legal fees, regularly costs a three- to four-figure amount. On top of that comes the cease-and-desist declaration with a penalty clause, which binds you for the future: the next similar mistake then costs the agreed contractual penalty.
The real risk: going out of date
Most texts that draw cease-and-desist letters were not wrong from the start: they became wrong. Legislators change the rules for online retail at short intervals: a new version of the cancellation policy, the button solution in the checkout process, the cancellation button for subscriptions, new rules for digital products and updates, ongoing developments in data protection law. If you draft your texts once and then leave them untouched for years, every change adds new grounds for a cease-and-desist letter. This is exactly the risk the subscription model addresses: the service is not the text at the start date, but the text that is still correct 3 years from now.
Cancellation policy: the classic mistake
No legal text is done wrong more often. The policy must match your offer exactly: if you sell custom-made items, sealed hygiene products or digital content, exceptions to the right of cancellation apply, but only if you inform customers about them correctly. A faulty policy also has an expensive side effect: the cancellation period does not start to run and is extended by up to 12 months. So customers can still return goods after a year.
Privacy policy: it must match your shop, not just any shop
A copied privacy policy describes another shop's tools. If you use different analytics, newsletter or payment services than described there, your policy is incomplete, and therefore open to challenge. That is why our process starts with your shop details: which systems are actually running? If your tool stack changes, you let us know and the policy is adjusted.
