Forming an OHG: the commercial partnership for full partners
The offene Handelsgesellschaft (OHG), the German general commercial partnership, is the classic form for commercial teams: at least two partners, a commercial business, full personal liability for everyone involved. It is the commercial law counterpart to the GbR, with a commercial register entry, a company name and the rules of the German Commercial Code (HGB).
GbR or OHG: where the line is drawn
Many teams wonder whether to form a GbR or an OHG. Often the answer is not a choice: if your partnership runs a commercial business that by its nature and scale requires a commercially organized operation, you are an OHG by operation of law, regardless of what the agreement says. Indicators are revenue, number of employees, inventory and the complexity of business transactions. Small-business teams can choose, and voluntarily register as an OHG to use a company name and merchant status.
Liability: strength and risk at the same time
In an OHG, every partner is liable without limit, personally, jointly and severally. That is the biggest risk of this legal form, and at the same time its credit advantage: banks and suppliers traditionally rate the OHG well, because the full personal assets of all partners stand behind every liability. You should know two time limits: anyone who joins an existing OHG is also liable for existing liabilities. Anyone who leaves remains liable for 5 years for liabilities incurred before leaving.
Management and representation
The law prioritizes the ability to act: each partner may manage and represent the OHG alone. That is practical for ordinary business, but dangerous for bigger decisions. A good partnership agreement therefore sets limits: approval requirements above defined amounts, lists of extraordinary transactions, clear withdrawal rules. That way the OHG stays fast in day-to-day business and in control of anything that could hurt.
Bookkeeping and taxes
As a commercial partnership, the OHG is subject to bookkeeping under the HGB, including annual financial statements. For tax purposes it is transparent: the profit is determined and allocated proportionally to the partners, and each partner pays tax on their share at their personal income tax rate. The OHG itself pays trade tax with a €24,500 allowance, which is credited against the partners' income tax. Unlike with corporations, there is no double taxation of profit and distribution.
When another form fits better
The OHG fits as long as all partners are fully involved in the business and want to bear the risk. As soon as a pure investor comes on board, the KG (limited partnership) becomes interesting, as the investor is then only liable up to their contribution. And if you want to rule out personal liability entirely, you end up with a GmbH or a GmbH & Co. KG. We form both at a fixed price, and advice on which form fits your case is included.

You don't have to have the partnership agreement notarized, which keeps notary costs low.

No. Only the commercial register application must be certified by a notary, which is a short appointment. The agreement itself requires no particular form, but should be in writing and properly drafted by a lawyer.
