Naming and shaming: fines are made public
What many people don't know: final fine decisions are published on the website of the Federal Office of Administration (Bundesverwaltungsamt), freely accessible and with company names, since early 2020. This means a violation is not just a payment, but a permanent record that business partners, banks and job applicants can find. On top of that come discrepancy reports: if the register data differs from other sources, obliged entities (such as your bank) report this to the register. The response deadlines are short.
Important since August 1, 2021
The Transparency Register is a full register. The former exception that an entry in the commercial register was sufficient (deemed notification) no longer applies. Every company required to file must actively file, even if all data is in the commercial register. This is exactly where most companies fall short: they think they are registered, but they are not. Who is a beneficial owner? Any natural person who holds more than 25% of the capital shares or voting rights or exercises control in a comparable way (§ 3 GwG). If there is no such person, the legal representatives are deemed to be fictitious beneficial owners. With multi-tier shareholdings and trust structures, identifying them quickly becomes error-prone: an incorrect filing is also subject to fines.

Transparency Register: the essentials
The Transparency Register: the underestimated obligation
Hardly any corporate obligation is overlooked as often as filing with the Transparency Register. The reason is historical: until July 2021, the deemed notification rule applied. If you were in the commercial register, you didn't have to do anything else. With the Transparency Register and Financial Information Act, the register was converted into a full register as of August 1, 2021: since then, every company required to file must actively enter its beneficial owners, regardless of what is in other registers. The transitional periods expired in stages through the end of 2022. Anyone who has not filed since then is in breach of the obligation, often without knowing it.
Who it applies to
Required to file are legal entities under private law and registered partnerships: GmbH, UG, OHG, KG including GmbH & Co. KG, partnership companies and foundations with legal capacity. Since the introduction of the company register in 2024, the obligation also applies to the registered GbR. Also required to file are foundations without legal capacity with a self-serving purpose, trust structures and foreign companies that hold or want to acquire real estate in Germany. Exempt are sole proprietors, freelancers without a company and the unregistered GbR. Registered associations have a special role: they are transferred automatically from the register of associations, but are responsible for correcting discrepancies themselves.
What is filed
A beneficial owner is any natural person who holds more than 25% of the capital shares or voting rights or exercises control in a comparable way, for example as a trustor or through veto rights (§ 3 GwG). In group and holding structures, control is calculated through the chain: control over the parent establishes beneficial ownership of the subsidiary. If there is no such person, the legal representatives are deemed to be fictitious beneficial owners. This identification is the real core of the task: the technical filing takes minutes, while determining the beneficial owners with legal certainty requires corporate law analysis for more complex structures. And the law sanctions both equally: failing to file and filing incorrectly.
What happens in case of violations
The Federal Office of Administration prosecutes violations as administrative offenses with fines of up to €100,000, and significantly more in serious cases (§ 56 GwG). On top of that come two mechanisms with real-world impact: discrepancy reports, which banks and notaries must file when they find deviations and which regularly trigger proceedings, and the online publication of final fine notices. The missing entry often becomes noticeable even earlier: when opening an account, at the notary appointment or when applying for funding, when the register extract is requested and none exists.
The obligation never ends
The entry is not a one-time act. Every change of shareholder, every shift across the 25% threshold and every change in management where fictitious beneficial owners are filed triggers an immediate change notification, unless the change is apparent from a public register such as the commercial register. Once you have set up the obligation properly, you can handle changes in minutes. If you ignore it, you build up fine risk year after year.

An electronic register that records the beneficial owners of all company forms required to file, including foundations and foreign companies that hold or want to acquire German real estate. It serves to combat money laundering and terrorist financing and is kept by Bundesanzeiger Verlag. The legal basis is the German Money Laundering Act (§§ 18 et seq. GwG).
Yes. Since August 1, 2021, the Transparency Register has been a full register: the former deemed notification has been abolished. An entry in the commercial register no longer replaces the filing. The transitional periods fully expired at the end of 2022.
With us, €129 net as a fixed price per company, including legal identification of the beneficial owners. The filing itself is free of charge at the register. The only addition is the annual fee of the registrar of approx. €21 net, which every registered company pays regardless of its service provider. Bundesanzeiger Verlag invoices it directly, usually together with the disclosure invoice.

Any natural person with more than 25% of the shares or voting rights or with comparable control, for example through voting agreements or trust arrangements (§ 3 GwG). If there is no such person, the managing directors are filed as fictitious beneficial owners.
What counts is control calculated through the chain: anyone who controls a parent company holding more than 25% of the subsidiary is a beneficial owner of the subsidiary. With multi-tier structures, we trace the entire chain, because incorrect filings are subject to fines just like missing ones.
All first names and the last name, date of birth, current main place of residence (without street and house number), all of a person's nationalities, and the nature and extent of the beneficial interest, such as the size of the shareholding.
The Federal Office of Administration grades the fines by severity and fault (§ 56 GwG), and negligence is no protection: simple violations up to €100,000, intentional ones up to €150,000, serious or repeated violations €100,000 to €1 million, for insurance or asset management companies up to €5 million. On top of that comes naming and shaming: final fine notices are published on the website of the Federal Office of Administration, with the company's name.
File first, then respond: a quick late filing usually has a positive effect on the proceedings. We handle the entry for €129; for your defense in the fine proceedings, we make you a separate fixed-price offer.
Banks, notaries and other obliged entities must report to the register if its data differs from what they know. The registrar then contacts your company. If you do not respond or respond incorrectly, fine proceedings may follow. Resolving a discrepancy report is not part of the €129 entry. For this we offer our separate Discrepancy Report product at its own price.
Yes, without delay, unless the change is apparent from the commercial, cooperative, partnership, company or association register: with every change of shareholder, with shifts in shareholdings across the 25% threshold, with new managing directors (if fictitious beneficial owners are filed) and with changes to the address or name of the beneficial owners. We handle each change notification again for the fixed price of €129.
Registered associations are transferred automatically from the register of associations; they only have to file if there are discrepancies. gGmbH and gUG, on the other hand, are fully required to file like any corporation. Charitable organizations can apply to be exempted from the annual fee.
Authorities and entities obliged under money laundering law have full access. The European Court of Justice (CJEU) restricted general public access in 2022: since then, private individuals have to demonstrate a legitimate interest.
