Forming a KG: management and capital cleanly separated
The Kommanditgesellschaft (KG), or limited partnership, is the partnership for unequal partners: one wants to run the business and bears the full risk, others want to invest without putting their personal assets on the line. This division of roles is built into the law, and it has made the KG the standard form for family businesses and investment models for generations.
Two roles, two liability regimes
The general partner is the fully liable partner: they manage the business, represent the KG externally and have unlimited liability with all of their assets. The limited partner is the investor: their liability ends at the liability amount entered in the commercial register. Once they have paid in their contribution in full, their personal liability is excluded. If they withdraw contributions again, liability revives in that amount, a trap that is often overlooked with withdrawals.
The critical moment: registration
Unlike the GbR, the KG needs entry in the commercial register for its liability structure to take effect. If the company starts doing business before registration, the limited partners are also liable like fully liable partners for the obligations incurred up to that point, unless the creditor knew of their status as limited partners. The order is therefore fixed: agreement, certified application, registration, and only then start of business.
What belongs in the KG agreement
The law only sets a basic framework, almost everything can be shaped. The key points in practice: the amount of the agreed contribution and the liability amount (the two can deliberately differ), profit distribution between management work and capital, withdrawal rights, the limited partners' control and approval rights beyond the statutory minimum, and the rules for leaving and severance. Especially when family members or investors are involved, the agreement decides whether the structure holds for ten years or breaks at the first conflict.
Taxes: tax-transparent
The KG itself pays no income tax or corporate income tax. Its profit is determined and allocated proportionally to the partners, and each pays tax at their personal rate. Trade tax is levied at the level of the KG, with a €24,500 allowance and credit against the partners' income tax. Compared with the GmbH, there is no second level of taxation on distributions; in return, you miss out on the low tax rate a corporation enjoys on retained profits.
When nobody should be fully liable
The most common objection to the KG is the general partner's unlimited liability. The solution is well established: instead of a natural person, a GmbH takes on the role of general partner, which is the GmbH & Co. KG. That way no natural person has unlimited liability, and the KG structure with its flexible profit distribution remains intact. We form both versions at a fixed price and tell you in advance which one fits your case.

Our fee is a fixed price of €469 net. Notarial certification of the signatures on the commercial register application costs approx. €150. The registry court fees are approx. €300 and are invoiced to the new company about 10 days after notarization. They consist of approx. €225 for the registration and approx. €75 for document retrieval. On top of that comes the fee for the trade registration, which varies by municipality.
We draft the documents within 24 h. After the certified application, entry in the commercial register usually takes 5 to 14 days.
The general partner (Komplementär) manages the business and has unlimited liability with all of their assets. Limited partners (Kommanditisten) provide capital, are only liable up to the liability amount entered in the commercial register and are excluded from management.
