UG & Co. KG: the structure without a fully liable partner or large starting capital
The UG & Co. KG applies the proven principle of the GmbH & Co. KG to small budgets: a limited partnership (KG) whose general partner with unlimited liability is not a person but a UG (haftungsbeschränkt). Since the UG can be formed with low share capital, you get a complete structure without a fully liable private individual, for a fraction of the capital the classic version ties up.
How liability is distributed
The structure has three levels. The KG itself is liable with its company assets. Its general partner, the UG, has unlimited liability for the KG, but only with its own, small company assets. The limited partners are liable up to the liability amount entered in the commercial register; once the contribution has been paid in, their personal liability is excluded. No natural person's private assets are at stake, provided both companies are registered before business starts.
What the structure is suited for
Typical uses are project and holding companies, asset management, smaller-scale real estate and formations where investors are to be brought in without anyone being personally liable. Compared with a plain UG, the KG level offers flexible withdrawals and the transparent taxation of a partnership: for tax purposes, profits go directly to the partners, with no second level of taxation on distributions.
The limits, stated honestly
The UG & Co. KG is the most complex structure among the small legal forms: two companies, two sets of books, two annual financial statements, plus the UG's requirement to set aside 25% of its annual net profit as a reserve. The long company name with the mandatory suffix "UG (haftungsbeschränkt) & Co. KG" also signals the general partner's thin capital base to business partners. Banks factor this into their lending decisions. If outside perception matters, you are better off with the GmbH & Co. KG; if you mainly need the liability structure, the UG version saves you over €20,000 in tied-up capital.
Formation in the right order
First the UG is notarized and entered in the commercial register. Then the UG and the limited partners conclude the KG agreement, and the KG application is certified and registered. Only once both are registered is the liability structure in place: starting early, before registration, exposes the limited partners to full liability. The growth path
The structure grows with you: the UG builds up capital through its reserve requirement and, at €25,000, can change its name and legal form to a GmbH, turning the UG & Co. KG into a GmbH & Co. KG without restructuring the KG. Alternatively, a newly formed GmbH can join later as general partner. Both routes are regulated and predictable.

Our fee is a fixed price of €469 net for both companies. On top of that come notary fees of approx. €800 to €900 for the UG, approx. €150 for certifying the KG application, approx. €300 for the registry court and the fee for the trade registration, which varies by municipality.
The KG has two roles: the UG (haftungsbeschränkt) is the general partner, manages the business and bears full liability, limited to its own assets. You and any other participants are limited partners and are only liable up to the amount of your registered contribution. As a result, no natural person has unlimited liability.
The general partner UG gets by with low share capital; we recommend a few hundred euros so it can cover its costs. You set the limited partners' contributions freely. This makes the UG & Co. KG a particularly capital-efficient structure without a fully liable private individual.
We draft the documents within 24 h. After notarization, both companies are usually registered in approx. 1 to 2 weeks.
Yes. You are the sole shareholder and managing director of the UG and at the same time the only limited partner of the KG.
Only in the general partner: a UG with low share capital instead of a GmbH with €25,000 in share capital. It works exactly the same way. The price for this: the UG suffix is visible in the name, and the UG must set aside 25% of its annual net profit as a reserve. Later the UG can grow into a GmbH, and the UG & Co. KG then becomes a GmbH & Co. KG.
The KG is tax-transparent: profits are allocated to the limited partners and taxed personally. The KG pays trade tax (allowance €24,500). The general partner UG only pays tax on its liability fee, at 15% corporate income tax plus solidarity surcharge.
Personal names, descriptive names or invented names with the suffix "UG (haftungsbeschränkt) & Co. KG". The suffix is mandatory and must not be abbreviated. We have both company names checked by a lawyer and by the IHK.
For the limited partners from entry of the KG in the commercial register, for the UG from its own registration. The KG should not start doing business before the registrations, otherwise there is a risk of full liability for early transactions.
