A good fit if …
you can pay in at least €12,500 and want a legal form that banks, customers and business partners regard as the standard. Liability is limited to the company's assets, and there is no reserve requirement as with the UG.
Not a good fit if …
a €12,500 contribution at the start is too much for you. Then you are better off forming a UG (haftungsbeschränkt), the German mini-GmbH, with lower share capital and converting it later once €25,000 in reserves is reached.

Form a GmbH: the essentials
Forming a GmbH online: what works digitally and what doesn't
Since August 1, 2022, you can form a GmbH in Germany online. The basis is the act implementing the EU Digitalization Directive (DiRUG): since then, notarization of the articles of association and certification of the commercial register application have been possible by video conference with the notary. Sounds practical, but there are hurdles you should know about.
How online notarization works
Video notarization runs exclusively through the video communication system of the Federal Chamber of Notaries. You need: a registration with the Federal Chamber of Notaries, a computer with camera and microphone, a smartphone that can read the eID and photo, and the free app of the Federal Chamber of Notaries. Mixed formats are also permitted: you attend in person and your co-shareholders join online, or vice versa.
Identification in two stages
Before notarization you go through a two-stage identification process. First stage: an ID with eID function (the German identity card, the eID card for EU and EEA citizens or the electronic residence permit for third-country nationals). Second stage: the notary compares your appearance on video with the electronically transmitted photo. Your signature is replaced by a qualified electronic signature, which you must apply for with a trust service provider.
What online formation costs
The notary fees are the same as for an in-person appointment: approx. €800 to €900 with €25,000 share capital. On top of that comes a €25 flat-rate expense fee for the online procedure. So you save nothing, quite the opposite.
The practical limits
You still won't be fully location-independent: to open the business account, most banks require shareholders or managing directors to appear in person because of the Money Laundering Act. And later transactions such as selling shares or conversions still require an in-person appointment with the notary. A power of attorney for the online formation is possible, but it must be presented as an original or certified official copy; an electronic version is not enough.
Our conclusion
The technical preparation for online notarization eats up the time advantage: registration, eID setup, signature provider, against zero euros in savings. In practice the faster route is to have the documents prepared properly and then go to the notary once. We draft all documents for notarization in 24 h, coordinate them with the notary's office and help you schedule your notary appointment near you. Your GmbH is then notarized in a single appointment of around 30 minutes.
