Why the party providing the contract has the advantage
A simple mechanism applies in negotiations: whoever presents the draft defines the starting point. The other side has to justify and fight for every deviation. If you only react to other people's drafts, on the other hand, you negotiate details while the framework has long been set. Your own professionally drafted contract for €499 is therefore not a formality, but a negotiating position.
The problem with templates and generators
Free templates and contract generators produce text that sounds legal. The risk lies in what they do not do: they do not know your business model, they do not weigh your risks, and they go out of date. A liability clause that was common years ago may be invalid today, and an invalid clause is struck out without replacement, often to the detriment of the party that introduced it. For general terms and conditions: the invalid clause is not reduced to what is just barely permissible, but deleted. Then the statutory rules apply, and they are often stricter than what a cleanly worded clause would have achieved.
Individual does not mean complicated
A good contract is not the longest one. It covers the points where your specific business could fail: for an IT project that is acceptance and rights of use, for a supply agreement delivery times and consequences of default, for an employment contract fixed terms and post-contractual obligations. Everything else can be short. Our contracts are written so that both sides understand them, and that reduces disputes more than any severability clause.
The most expensive gaps
In our advisory practice since 2003, the same gaps keep coming up: no provision on rights of use (who owns the work result?), no clear description of services (what exactly is owed?), no provision on default (what happens in case of non-payment?) and no exit clause (how do the parties part ways?). In a dispute, each of these gaps costs more than drafting the entire contract.
Contract and reality have to match
A contract only protects you if it reflects how you actually work together. A freelancer contract that sounds like a contract for work, while the collaboration is lived like an employment relationship, does not protect against bogus self-employment. That is why we ask before drafting how the collaboration will actually work, and we point out such risks to you before they cost money.
When a review is enough instead of drafting
Not everyone needs a new contract. If you have someone else's draft in front of you and it is a one-off matter, the review for €259 is the cheaper option. Drafting is worthwhile if you want to set the terms yourself or will use the same contract several times.
